Global project consultancy TSA Riley has acquired RGB Assurance, a boutique consulting firm with 30 staff across offices in Brisbane and Perth.

Founded in 2010, RGB Assurance is an engineering consulting firm specialising in the provision of consultancy services, software development and training in the area of safety-critical systems. The firm works for clients in several sectors, including rail, marine, aviation, and defence sectors.

As part of the deal, RGB Assurance becomes part of TSA Riley’s Systems Engineering & Safety Assurance Advisory practice across Queensland and Western Australia.

“Systems Engineering and Safety Assurance Advisory is a small industry and our teams have worked together and enjoyed strong professional relationships for some years now,” said Alena Griffiths and Neil Robinson said, Co-Founders and Directors of RGB Assurance.

“Connecting our expertise grows our geographic reach and sector experience. We’re looking forward to meeting the market, and our clients, as TSA Riley, with all the opportunities the brand represents.”

Andrew Tompson, CEO of TSA Riley, described RGB Assurance as a “great addition” to the company and its clients across Australia. “As we grow in the systems engineering and safety assurance advisory space, and across the full project life cycle, we can offer our clients deeper industry insight and support their success at every stage. In a world where we must maximise the output of the infrastructure we have, growing this market-leading skillset is very exciting for us.”

TSA Riley’s bolt-on of RGB Assurance builds on the acquisitions of DGA Group and Henry Riley, who both joined the business in 2023. In recent years TSA Riley has strategically expanded in geography, services and headcount and now approaches 1,000 people across Australia, the UK, New Zealand and South-East Asia.

During the deal process, RGB Assurance’s shareholders received advice from SCD Advisory, which provided sell-side M&A advisory services. “The SCD Advisory team were very professional, super efficient and brought a wealth of knowledge and experience that was pivotal to the deal’s success,” said Griffiths and Robinson.

The buy-side dealmaker was at the time of writing not disclosed by TSA Riley.
